01Agreement to these terms
These Terms of Service (the “Terms”) form a binding agreement between you and sceneh.ai Labs (“sceneh.ai”, “we”, “us” or “our”) governing your access to and use of the sceneh.ai website, waitlist, platform and related services (the “Services”).
By accessing or using the Services you agree to these Terms. If you use the Services on behalf of a company or other organisation, you confirm that you have authority to bind it, and “you” refers to that organisation. If you do not agree, do not use the Services.
02Eligibility and accounts
You must be at least 18 years old and able to form a binding contract to use the Services. You agree to provide accurate information, keep your login credentials confidential, and are responsible for all activity under your account. Notify us promptly at legal@sceneh.ai of any unauthorised use.
03Private beta and waitlist
sceneh.ai is currently offered as a private beta. Joining the waitlist does not guarantee access. Beta features may be incomplete, may change or be withdrawn, and may be subject to usage limits. Any founding or early-access pricing is offered at our discretion on the terms communicated to you at the time.
04Acceptable use
You agree not to use the Services to create, upload or distribute content that:
- infringes any intellectual property, privacy, publicity or other right of any person;
- depicts a real person in a deceptive, sexual or defamatory way, or impersonates any person without their consent;
- is unlawful, harassing, hateful, violent, sexually explicit, or harmful to minors;
- constitutes misleading advertising, fraud, election misinformation or spam; or
- violates applicable advertising standards or platform rules where the content will be published.
You also agree not to reverse engineer, scrape, overload, resell or circumvent security or usage limits of the Services, or use them to build a competing product.
05Your content
You retain all rights in the briefs, brand assets, prompts and other materials you provide (“Customer Content”). You grant sceneh.ai a worldwide, non-exclusive, royalty-free licence to host, process, reproduce and modify Customer Content solely to provide, secure and support the Services for you.
You confirm that you have all rights, licences and consents necessary for your Customer Content, including from any person whose likeness, voice or personal data appears in it.
06AI-generated outputs
Subject to your compliance with these Terms and payment of applicable fees, sceneh.ai assigns to you any rights it holds in the videos, scripts, storyboards, audio and other materials generated for you (“Outputs”), and you may use them for any lawful commercial purpose.
Outputs are produced by machine-learning systems and may not be unique; similar outputs may be generated for others. You are responsible for reviewing Outputs before publication, including for accuracy, suitability, regulatory compliance and third-party rights. Intellectual-property protection for AI-generated material varies by jurisdiction and is not guaranteed.
07Our intellectual property
The Services, including software, models, workflows, designs, trademarks and the sceneh.ai name and logo, are owned by sceneh.ai or its licensors and protected by law. Except for the limited right to use the Services under these Terms, no rights are granted to you. If you send us feedback or suggestions, we may use them without obligation to you.
08Fees and payment
Paid plans are billed in advance as described at the time of purchase. Fees are non-refundable except where required by law or expressly stated, and are exclusive of applicable taxes such as GST. We may change pricing for future billing periods with reasonable prior notice.
09Third-party services
The Services may integrate with or link to third-party products, platforms and models. Your use of them is governed by their own terms, and sceneh.ai is not responsible for third-party services.
10Privacy
Our handling of personal data is described in our Privacy Policy, which forms part of these Terms.
11Suspension and termination
You may stop using the Services at any time. We may suspend or terminate access if you breach these Terms, if required by law, or to protect the Services or other users. On termination, your right to use the Services ends; sections that by their nature should survive (including ownership, disclaimers, limitation of liability and governing law) will survive.
12Disclaimers
To the maximum extent permitted by law, the Services and Outputs are provided “as is” and “as available”, without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy or uninterrupted availability.
13Limitation of liability
To the maximum extent permitted by law, sceneh.ai will not be liable for any indirect, incidental, special, consequential or punitive damages, or for loss of profits, revenue, data or goodwill. Our total liability arising out of or relating to the Services will not exceed the greater of the amounts you paid us in the twelve months before the claim or INR 10,000. Nothing in these Terms limits liability that cannot be limited by law.
14Indemnity
You will defend, indemnify and hold harmless sceneh.ai and its officers, employees and partners from claims, losses and expenses (including reasonable legal fees) arising from your Customer Content, your use or publication of Outputs, or your breach of these Terms or applicable law.
15Governing law and disputes
These Terms are governed by the laws of India. Subject to any mandatory consumer protections where you live, the courts at Mumbai, India will have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Services. Before starting proceedings, both parties will try in good faith to resolve the dispute informally within thirty days of written notice.
16Changes to these terms
We may update these Terms from time to time. We will give reasonable notice of material changes by email or through the Services. Continuing to use the Services after changes take effect means you accept the updated Terms.
